Statutes of the International Association of Independent Psycho-physiologists and Polygraphists.

Article 1: Name and Objectives

1.1 The association shall be known as the International Association of Independent Psycho-physiologists and Polygraphists.
1.2 The objective of the association shall be to promote the study and understanding of psycho-physiology and polygraphy worldwide, in different languages, to support and encourage research in this field, and to provide a forum for the exchange of ideas and information among its members.

Article 2: Membership

2.1 Membership in the association shall be open to all individuals who are engaged in the study or practice of psycho-physiology and polygraphy, or who are interested in this field.
2.2 The executive committee of the association shall have the authority to approve or reject applications for membership as well as the setup of objective mechanisms for admissions.
2.3 There will be 5 types of membership:

2.3.1 Associate
2.3.1.1 Associate members are those that:
2.3.1.1.1 Have a vested interest in the profession of psycho-physiology, like for example have undergone a nationally recognized training in these areas. These can be students, teachers or professionals that have an interest in the area of psycho-physiology but do not necessarily exercise the profession or not yet.

2.3.1.2 Associates shall:
2.3.1.2.1 Not have the right to vote in matters before the General Membership
2.3.1.2.2 Shall have access to bibliography and research papers published or available
2.3.1.2.3 Meet all the financial obligations required by Associates

2.3.2 Member
2.3.2.1 Members are those that
2.3.2.1.1 Are active professional psycho-physiologists that have complied with the membership requirements as set by the Executive Committee
2.3.2.1.2 Certify they have read and are in compliance with the IAIPP’s Code of Ethics.

2.3.2.2 Members shall:
2.3.2.2.1 Have the right to vote in all matters before the General Membership.
2.3.2.2.2 Be eligible to hold any elective office in the association.
2.3.2.2.3 Be eligible to hold any appointed position in the association and serve as the Chair of any IAIPP Standing or Ad Hoc Committee.
2.3.2.2.4 Meet all financial obligations required of Members

2.3.3 Science member
2.3.3.1 Science members are those
2.3.3.1.1 Who have demonstrated a contribution to the field of psycho-physiology through research or technological advancement.

2.3.3.2 Science Members shall
2.3.3.2.1 Not have the right to vote in matters before the General Membership
2.3.3.2.2 Be eligible to hold any appointed position of any IAIPP Standing or Ad Hoc Committee.
2.3.3.2.3 Meet all financial obligations required of Members

2.3.4 Honorary member
2.3.4.1 Honorary members are those that:
2.3.4.1.1 Have made an outstanding contribution to the field of psycho-physiology.
2.3.4.1.2 Have been nominated by a voting member for Honorary Membership.
2.3.4.1.3 Have had their nomination approved by at least a two – thirds (2/3) vote of the Executive Committee at which a quorum is present.
2.3.4.1.4 Whose nomination has been confirmed by a majority vote of all voting Members present at a meeting of the General Membership

2.3.4.2. Honorary members shall:
2.3.4.1.5 Not have the right to vote in matters before the General Membership.
2.3.4.1.6 Have the right to speak during the annual meetings.
2.3.4.1.7 Be eligible to serve on any Standing or Ad Hoc Committee.
2.3.4.1.8 Not be eligible to hold any elective office in the IAIPP.
2.3.4.1.9 Be exempt from annual membership dues to the IAIPP.

2.3.5 Special member
2.3.5.1 Special members are those that
2.3.5.1.1 Have an interest in the field of psycho-physiology, although not necessarily being active in the field.
2.3.5.1.2 Have been nominated by a voting member for Special Membership.
2.3.5.1.3 Have had their nomination approved by at least a two – thirds (2/3) vote of the Executive Committee at which a quorum is present.

2.3.5.2 Special members shall:
2.3.5.2.1 Not have the right to vote in matters before the General Membership.
2.3.5.2.2 Be eligible to serve on any Standing or Ad Hoc Committee.
2.3.5.2.3 Not be eligible to hold any elective office in the IAIPP.
2.3.5.2.4 Meet all financial obligations required of Special Members

2.4 General membership provisions
2.4.1.1 Subject to the terms and conditions of this Article 2, any member’s membership status with the association shall be terminated upon a conviction of any felony crime. A conviction is any judgement of any criminal justice court by a national authority in which the member has been convicted.
2.4.1.2 Any member who is formally accused or charged in any court of competent jurisdiction on felony crime, shall inform within 15 days of such accusation the Chairperson of the Ethics Committee. Any member failing to provide this information may immediately be suspended by the Ethics Committee or the Executive Committee at their discretion.

2.4.2 The Executive Committee may suspend or terminate a member’s membership for:

2.4.2.1 Any action against the provisions in the Code of Ethics
2.4.2.2 Failure to meet the financial obligations with the association

2.4.3 Any member that has been a previous member and reapplies for membership, will have to be approved by the Executive Committee by at least a two – thirds (2/3) vote of the Executive Committee at which a quorum is present

2.4.4 All members shall comply with the Code of Ethics

2.4.5 Changes to the membership classes must be recommended by at least two-thirds (2/3) of the Executive Committee. These changes have to be approved by majority vote by the voting members during the annual meeting.

Article 3: Dues

3.1 Members of the association shall pay annual dues, the amount of which shall be determined by the executive committee.
3.2 Members who fail to pay their dues for a period of two years shall be considered as having resigned from the association.

Article 4: Meetings

4.1 The association shall hold at least one General Membership Meeting each year, at a time and place determined by the executive committee.
4.2 Special meetings may be called by the executive committee, or by a petition signed by at least 10% of the membership.
4.3 Each voting member is entitled to one (1) vote on each matter submitted
4.4 General Membership Meeting as well as other meetings can be held online
4.5 Voting can be counted manually when held by videoconference or by digital signature with private keys
4.6 Date and time of the annual General Membership Meeting, as well as special meetings shall be published on the IAIPP Website with no less than 7 days before the date
4.7 For purpose of the General Membership Online Meeting a quorum requires no less than (20%) of the voting members to vote.
4.8 Any member with speaking rights shall have the right to speak at any meeting of General Membership. However, only voting members have the right to vote on elections, motions or any other matter brought up for vote.

Article 5: Executive Committee

5.1 The executive committee shall consist of (9) members, a president, a vice-president, a secretary, a treasurer, and 5 directors, all of whom shall be elected by the members.
5.2 The executive committee shall have the power to conduct the business of the association and to make decisions on its behalf, subject to the approval of the membership.
5.3 The executive committee shall hold regular meetings, the frequency of which shall be determined by the committee.
5.4 The term of the different Executive Committee members will be:
5.4.1 President and Vice-president two (2) years, together with secretary and treasurer two (2) years
5.4.2 Directors for four (4) years each, the two youngest been elected on years ending in even numbers and the 3 oldest on years ending on uneven numbers
5.5 In case of death, inability or resignation the executive member can appoint a member of his or her choice to fulfill the remaining term
5.6 There is a maximum of two consecutive terms for each member of the Executive Committee possible. After the end of two consecutive terms the members have to wait at least one term to be able to apply for the same office.
5.7 Any executive committee member can be removed by at least two-third (2/3) of the entire executive committee or a two-third (2/3) vote of the voting members at any General Membership Meeting or duly convened special meeting where quorum is assured.
5.8 For purpose of voting on executive committee matters a quorum requires no less than 5 of members to vote.
5.9 Notice of any special meeting shall be received by each Executive Member by electronic or other mode of written, not less than seven (7) days before the time set for such a meeting, and must include the time, the method of meeting and the purpose.
5.10 Any member with voting rights for General Membership can be nominated for any of the positions of the Executive Committee
5.11 The nomination for President and Vice-president has to be a joined ticket
5.12 The Executive members are voted in by majority vote during the annual General Membership during elections year with minimum quorum voting.
5.13 When no minimum quorum is met, the executive committee member can remain in position for an additional year.

Article 6: Country affiliates

In order to further the knowledge of psycho-physiology worldwide the I.A.I.P.P. can be represented by local affiliates in the different countries.

Local representation will be assigned on an ad hoc basis depending on the country’s specificity by majority vote by the Executive Committee.

Local representation can be revoked by majority vote by the Executive Committee based on proposal from a member.

The local member will not have the authority to bind the I.A.I.P.P. to any financial commitment or responsibility unless specifically obtain such consent in written by the sitting president of the Executive Committee.

Country affiliates will be clearly stated in the I.A.I.P.P. website.

Article 7: Amendments

7.1 These statutes may be amended by a two-thirds vote of the membership, provided that the proposed amendment has been submitted in writing to the members at least 30 days in advance of the meeting at which it is to be considered.

Article 8: Standing Committees and Ad Hoc Committees

8.1 Standing Committees
The following are the Standing Committees. The president shall appoint a director for each:

  1. Ethics and Grievance Committee
  2. Communications & Public Relations
  3. Professional Development
  4. Research and Development

8.2 Ad Hoc Committees
For the purpose of achieving the goals of the association the President might appoint a Chairperson to direct an ad hoc committee.
